Warid Telecom Chairman’s Leaked Letter to President Huawei

In response to the legal notice from Huawei to recover outstanding payments, H.E. Sheikh Nahyan Mubarak Al Nahyan, Chairman of Dhabi Group and Warid Telecom wrote a letter to Mr. Ding Shao Hua, President of Huawei on June 12, 2010. But Huawei filed a petition in the Lahore High Court, Rawalpindi Bench with the subject; “Winding up Warid Telecom Ltd” and started media war to further.

Here is the leaked letter, being widely circulated on the internet, in full.

Dear Mr. Hua,

Re: WARID PAKISTAN

I refer to your Letter dated 7th May 2010 in connection with the outstandings due to Huawei from Warid Pakistan (“Warid”).

I have now had the chance to look into the matter.

At the outset, I would like to express my deep appreciation and gratitude for the support that Huawei has extended to Warid by supplying equipment and providing services and participating the growth of Warid. As you may be aware, Warid made rapid progress and became an established player in the Pakistan market but more recently Warid, as with other operators, has encountered serious operational and commercial challenges.

It is questionable whether the Pakistan market can sustain 5 Operators and the timing is ripe for an industry consolidation. In addition to the operational challenges, in order to fund its rapid expansion, Warid has to borrow from the International and Domestic markets in excess of $800 Mil. to date.

In light of the above, the Board of Warid has constituted 2 Committees ( the M&A Committee & Restructuring Committee) to analyse the strategic options open to Warid both in terms of Industry consolidation and the restructuring of its debt and to make appropriate recommendations to the Warid Board. External Advisors including Goldman Sachs, KPMG & Allen Overy are assisting these Committees.

I have asked the Restructuring Committee to contact you and to meet you so that they can update you on its deliberations with Warid’s Lenders and to explain to you the current status of the Huawei/CDB transaction. As you will appreciate, given the paripassu collateral structure being sought by CDB, any drawndown under the CDB financing would be conditional on getting the consent of Warid’s existing Lenders and it is necessary therefore that a way be found to quickly resolve this in a manner which is acceptable to all Parties.

Meanwhile, I was shocked to learn that Warid has been served a legal notice from Huawei demanding immediate repayment. Such action on Huawei’s part is value destroying and will only serve to undermine the work of the Restructuring & M&A Committees.

I would ask that you personally intervene to ensure that no precipitous steps are taken which could jeopardize Warid’s operational viability and hope that the Restructuring Committee can constructively engage with Huawei/CDB to resolve this matter.

Huawei recently filed a petition case for the winding up of Warid Telecom but now the case has entered into a new phase, as the reports are that both the parties are looking forward to a friendly settlement of the matter.

Previously, Huawei denied the reports of settlement between both the companies, but today Huawei said that the negotiations are in progress.

According to Huawei, there are still some important steps that need to be resolved and completed by Warid Telecom and if everything accelerates in a normal way, we hope the matter will likely to be resolved in properly.

However, for the meantime the hearing is adjourned by the Lahore high Court Rawalpindi Bench to December 2, 2010.

The main reason behind filing a petition case for the winding up of Warid Telecom is the claim made by Huawei that Warid owed the amount of US $100,000,000 and is defaulted on monthly payments for August and September 2010.

Huawei, a Chinese telecom vendor, is likely to withdraw the Dubai’s Warid Wind-up Petition in next couple of days, amid high-level negotiations between Huawei and UAE-based Dhabi Group back in China, told highly placed source close to the situation.

Senior official of Huawei’s Pakistan Legal Department who is also duly constituted attorney of the company has confirmed and said that company is considering withdrawing the petition. However a certain date wasn’t communicated on this. He further confirmed that high-level delegation from Dhabi group is in China for re-scheduling the pending payment. “In response of vigorously pursuing the petitions by us, Warid’s Senior Delegation is right now in China and having very constructive meetings with us in the presence of China Development Bank.” A joint press conference is expected this week in which Corporate Communications Director of Huawei will announce details.

Recently filed petition against Warid Telecom of Pakistan has caused Huawei serious reputation damage as mobile networks are going to get more conscious before contracting Chinese top network vendor. Civil Society also showed the serious concerns over legal action from Huawei by saying it an unwanted, unnecessary and harsh step from Huawei and suggests both multi-national companies to resolve the issue outside the court. “The company responsible for the situation must act immediately to control damage otherwise it may hurt its interests in many countries” Warned a local economy-focused think-tank.

Earlier, the Chairman of Dhabi Group and Warid Telecom also wrote a very positive and polite letter to the President of Huawei on the 12th of June this year which shows Warid’s intention of reaching a peaceful solution regarding this matter. But Huawei ignored the letter and filed a petition in the Lahore High Court, Rawalpindi bench with the subject; “Winding up Warid Telecom Ltd”. The public notice issued by Lahore High Court Rawalpindi bench on 30th September has also been published in national newspapers.

Sources close to Huawei have disclosed that decision of going into court against mere 100 million dollar was taken solely by some individuals based in Pakistan and Middle East Legal Departments, while top management was not fully endorsed. It is also learned that rewarding the blue-eyed lawyer of Huawei could be a reason of filing of petition. Source said that the lawyer was paid as high as PKR 20 Million for the case.

Moreover, our sources in Warid informed that Huawei transmits just 7 Percent of Warid’s total traffic. Hence Huawei’s appeal for liquidating the company, worth multi billion dollar, for paying just 100 million is considered as over re-action to damage the reputation of Warid.

We tried to get official viewpoint from Huawei’s media managers in Pakistan, but according to them, they are ignorant of this case and denied to comment on the situation by saying “The case is in the court now, so it is not appropriate for us to comment on it”. On responding our inquiry about the recently-issued media statement by Huawei, they revealed that it was actually issued by Huawei Middle East, not by Huawei Pakistan and the Regional office is looking after this case in the press. The PR Agency in Pakistan, who issued the statement on Huawei’s behalf, also confirmed that this media project is outsourced to them by a Dubai-based PR Agency. The current situation clearly shows Huawei’s lack of coordination and managerial flaws to tackle this sensitive issue.

It is the most frequent malignancy in women, where it accounts for 38.5% of all female cancers. About half (43.7%) of all breast cancers are locally advanced accounting to 40,000 deaths per year.

Whereas very little information on breast cancer is available in Pakistan and only cases of breast cancer at a very advanced stage are reported. With early diagnosis, a patient’s chance of surviving breast cancer is higher than 90%. Now the Warid Customer can enjoy International MMS facility, which will allow them to send and receive multimedia messages to their family, friends and even business colleagues all over the world.

This service is for both the prepaid and postpaid customers. Let’s talk about the tariffs and amount of data that a user can send or receive.

Tariff: for sending MMS Rs. 10+ tax per message and for receiving an international MMS is just Rs. 3 + tax or as per the customer’s GPRS package plan.

Data: the maximum size of an international multimedia message is 100kb.

Requirements: what you need is a camera phone with GPRS enabled on it and you are good to go for exchanging multimedia messages with your relatives and friends at the other end of the world.

Warid IM Over SMS Service

Warid now introduces IM Over SMS service to its subscribers which allows them to send Instant Messages over different Instant Messengers without having GPRS enabled on their handsets for ‘just’ Rs. 1+ tax/ SMS. To me its quite expensive service and who would want to spend Rs. 1.20 per SMS when they can contact them via call or regular SMS for lower price. Seriously, I don’t understand the purpose of this service. To people who want to use this service, details are given below.

Official: Warid Denies Takeover Rumors

There had been rumors about Warid Telecom sales to Dhabi Group on different websites and blogs. But Mr. Bashir Tahir, Chief Executive Officer, Warid Telecom Int. denies such take over. The press release further adds that Warid Telecom plans to expand its network in Pakistan.

I suggest ‘some bloggers’ to research before they announce something as ‘Official’. It can reduce their credibility and reliability they have gained over years. Below is the original press release document.

Warid Telecom Pushes 70% Shares to Airtel India

Airtel has bought 70% of Dhabi group’s Bangladeshi operations. The rest of the transactions will be finalized in the next ten days. Bharti Mittal who is the managing director of Sunil Bharti Airtel and Barshir A Tahir, CEO of the Dhabi group sealed the deal on Tuesday in Delhi.

The group is set to invest 300 million dollars in Warid telecom for the share of 70 percent and Bharti retained the thirty percent. The group has been trying two times to buy South African MTN but failed every time. This is therefore said to be their first major global buy. Warid is the one now providing services to over 64 Bangladesh districts having over 2.9 million customer base. It is also said by experts that Bharti’s presence shall increase through out the country in few years to come making the company a billion dollar investment. However, still with this happening Warid laid of some of its workers making their jobs contractual.

Warid Glow Revises Calling Tariff

According to latest reports, Warid has changed its calling tariffs of its most popular brand Glow which claims to offer attractive calling rates and free call to 10 members called as Glow gang. This free call facility which charges you only for the first time but with 2.99+ taxes normally can be availed daily from 11pm-8am and 24 hours on weekends.

Warid has already informed its customers through SMS and has clearly stated that the prices are subject to change at Warid’s discretion, in the terms and conditions.

Warid Introduces Missed Call Alerts Service

Warid now introduces Missed Call Alerts facility to its customer, prepaid or postpaid. The facility allows subscribers to receive alerts through SMS for the calls they miss while they were out of range, there cell phone was busy or switched off. This is quite a helpful service. Monthly charges of Rs. 30+ Tax for Postpaid and Rs. 10+ Tax for prepaid subscribers will be charged.

Also you receive separate SMS for each missed call so; you can easily manage, save, and call back the number without any hassle.

Activation process

Type short code ‘MCA ON’ and send it to 129.

Charges

Postpaid = Rs. 35.85 Including 19.5% FED

Prepay = Rs. 11.95 Including 19.5% FED

How to Unsubscribe:
Go to write message option, type short code ‘MCA OFF’ and send it to 129.

Rs. 2+ tax will be charged.

Temporary Deactivation

Disable by setting call forwarding/diverting to 103 (in your handset call settings menu).
